Section 21 of Companies Act, 2013 – Authentication of Documents, Proceedings and Contracts

SECTION 21. AUTHENTICATION OF DOCUMENTS, PROCEEDINGS AND CONTRACTS

[Effective from 12th September, 2013]

Save as otherwise provided in this Act,—

(a) a document or proceeding requiring authentication by a company; or

(b) contracts made by or on behalf of a company,

may be signed by any key managerial personnel or an officer of the company duly authorised by the Board in this behalf.

Exemption

[1] In case of a Specified IFSC private company for the words “an officer” the words “an officer or any other person” shall be read vide Notification no. G.S.R. 9(E).dated 04th January, 2017.
