Section 21 of Companies Act, 2013 – Authentication of Documents, Proceedings and Contracts

SECTION 21. AUTHENTICATION OF DOCUMENTS, PROCEEDINGS AND CONTRACTS

[Effective from 12th September, 2013]

Save as otherwise provided in this Act,—

(a) a document or proceeding requiring authentication by a company; or

(b) contracts made by or on behalf of a company,

may be signed by any key managerial personnel or [an officer or employee of the company] [1] duly authorised by the Board in this behalf.

Exemption

In case of a Specified IFSC private company for the words “an officer” the words “an officer or any other person” shall be read vide Notification no. G.S.R. 9(E).dated 04th January, 2017.

In case of a Specified IFSC public company for the words “an officer” the words “an officer or any other person” shall be read vide Notification no. G.S.R. 08(E).dated 04th January, 2017.
