As per Section 152 of the Companies Act, 2013 which contains the provisions of the Manner of appointment of Independent Directors, which may be done by accessing the data bank to be maintained by any institution in this regard which shall be authorized by the Central Government.
In the light of above, by the virtue of which the Central Government has given the express powers to the three professional bodies namely, The Institute of Company Secretaries of India, The Institute of Chartered Accountants of India and The Institute of Cost and Works Accountants of India in this behalf to set up and maintain with due care and top most diligence a repository which contain the names of the Directors who are willing to act as the Independent Directors on the Boards of the Companies in India.
The Companies who are attracted by the provisions of the Appointment of Independent Directors may appoint by having approach to the data bank maintained by the professional bodies which can be accessed at the websites of the following authorized institutes and further all the companies accessing this mode has to satisfy and exercise due care themselves while making the appointment of Independent Directors.
