The Companies Act, 2013 was passed by the Lok Sabha on 18th December, 2012, by Rajya Sabha on 8th August, 2013, received assent of our Hon™ble President Shri Pranab Mukherjee on 29th August, 2013, and finally published in the Gazette of India, Extraordinary, Part-II, Section-1, dated the 30th August, 2013 as Act No. 18 of 2013, thus repealing the 57 year old Companies Act, 1956.
The new Law is progressive, forward looking and promises improved corporate governance norms, enhanced disclosures and transparency, increased accountability of company managements and auditors, protection of interest of investors, particularly small and minority investors, better shareholder democracy, facilitation of corporate social responsibility (CSR) and stricter enforcement processes.
