Guidance Note on Annual Return
The Institute of Company Secretaries of India(ICSI) has issued a Draft Guidance Note on Annual Return dated November 28, 2015. As you are aware,the Ministry of Corporate Affairs vide its notification dated November 16, 2015 has substituted Form MGT-7 through the Companies (Management and Administration) Third Amendment Rules, 2015.
The Institute has come out with the revised updated electronic version of the Draft Guidance Note on Annual Return as per the substituted e-Form MGT7 under the leadership of CS Vineet Chaudhary, Chairman, Corporate Laws and Governance Committee and CS Ashish Garg Chairman, Practising Company Secretaries Committee. The Guidance Note serves to guide the company secretaries in filling and filingthe annual return and also in its certification.
In case, you have any queries/suggestions/posers with regard to filling and filing of Annual Return or with the Guidance Note, you are requested to send your concern to the Institute by 05th December, 2015 at companiesact2013@icsi.edu.
The Draft provides the manner of arriving at the turnover and networth as required to be stated in MGT 7. The views and suggestions of the stakeholders in this regard are particularly sought.
Further, the printed version of this Guidance Note, incorporating suggestions received, if any, will be released at the forthcoming National Convention of the Institute scheduled on 17-19 December, 2015 at New Delhi.
